Elon Musks Twitter Deal Dropped: Musk Backs Out Of The 44 Billion Deal

Elon Musk is terminating the $44 billion Twitter payout deal over fake mDAUs (Monetized Daily Active Users) data provided by Twitter. Musk filed the decision on Friday, July 8, 2022. In response, the social media company has warned of legal action against Musk. Let’s go through the SEC (the U.S. Securities and Exchange Commission) filing and also what Twitter representatives have to say about the turn of events.

Elon Musk’s Twitter Deal: SEC Filing

Musk Twitter

According to Musk’s SEC filing, he has made repeated requests to Twitter over the last two months for information regarding —

Twitter’s process for auditing the inclusion of spam and fake accounts in mDAU.  Twitter’s process for identifying and suspending spam and fake accounts. Daily measures of mDAU for the past 8 quarters.  Board materials related to Twitter’s mDAU calculations.  Materials related to Twitter’s financial condition.

The filing mentions what Twitter claims about mDAU and fake account calculation. The company says, “We have performed an internal review of a sample of accounts and estimate that the average of false or spam accounts during the first quarter of 2022 represented fewer than 5% of our mDAU during the quarter,” and “After we determine an account is spam, malicious automation, or fake, we stop counting it in our mDAU, or other related metrics.”

However, Musk has apparently found the above material representations as “false” and “misleading”.

Musk fake accounts

SparkToro's auditing tool

Musk’s filing also alleges that Twitter includes suspended accounts (that could be fake or spam) In its quarterly mDAU count. Also, the whole process is blamed to be “arbitrary and ad hoc”.

He also finds the recent firing of top execs without his approval as a breaching of the contract.

Elon Musk also alleged that Twitter breached the agreement when it fired two top managers, without his consent.

Thus, the billionaire believes that he has the “right to seek rescission of the Merger Agreement”.

Musk Twitter

But if the deal does fall through, Musk is obligated to pay a $1 billion breakup fee to Twitter.

In response, Twitter's chairman, Bret Taylor tweeted, “The Twitter Board is committed to closing the transaction on the price and terms agreed upon with Mr. Musk and plans to pursue legal action to enforce the merger agreement. We are confident we will prevail in the Delaware Court of Chancery”.

We shall keep you posted on any new developments in this case.

Netflix Introduces Spatial Audio Aims To Bring Immersive Audio To Its Subscribers

Netflix has announced that it is bringing spatial audio to its content starting July 7. To make this happen, Netflix has collaborated with the popular audio equipment manufacturer, Sennheiser.

Sound has always been integral to consuming digital content, and Netflix is not the only player in the space making innovations. Apple in 2021 had also introduced its own spatial audio feature, allowing the users of its devices and music and content streaming services to have a more fulfilling experience. Despite the similarities in the name, these Apple’s and Netflix’s spatial audio are totally unrelated.

Netflix Spatial Audio: Stranger Things is now more enjoyable

The blog post published by Netflix announcing the introduction of spatial audio said that it would give the watchers on its platform a more immersive experience. A section of the post read, “Often, the subtlety of sound goes unnoticed, but it can have a profound impact on the atmosphere of a scene and fundamentally change the audience’s response. Some of the most iconic moments in TV and film are defined by the immersive moments they create through sound. Without its excellent sound design, would the final fight scene in The Adam Project be as electric?”

The announcement was made on July 7, and Netflix declared that starting from that day itself, all the content on the platform would start getting spatial audio. If you are someone looking to give it a try, Netflix already has you covered. Just type ‘spatial audio’ in the search bar, and you will be presented with content supporting the new audio format. Select whatever you want to watch and get immersed.

Netflix already has support for creature comforts like 4K and HDR video content, Dolby Atmos, and a special Netflix Calibrated Mode. So, the addition of spatial audio will surely take the viewing experience up a notch.

Asus Zenfone 9 With Gimbal Stabilization Leaks In Official Product Video

Asus Zenfone 9 compact phone has leaked in an official product video that went live on YouTube but was soon taken down. The Zenfone 9 leak gives us a glimpse of some of the most prominent features and specifications and follows the Asus 8Z aka Zenfone 8 which was launched earlier this year in India. The Zenfone 9 or the Asus 9Z has a new design and is powered by the Snapdragon 8+ Gen 1 chip along with a dual-camera system backed by gimbal stabilization. Eagle-eyed folks over at GSMArena and TechGoing downloaded the leaked video before Asus could take it down from YouTube and here’s everything we got to know about the Asus Zenfone 9.

Asus Zenfone 9 leaked specifications

The Asus Zenfone 9 features a 5.9-inch Super AMOLED display which is likely the same as the Asus 8Z with support for 120Hz refresh rate and Gorilla Glass Victus protection. It is also IP68 rated making it dust and water-resistant. Instead of a single camera island, the Zenfone 9 has two large camera rings on the back which look pretty unique.

It has dual cameras on the back with a 50MP main camera that uses Sony IMX766 sensor, the same as the recently launched ROG Phone 6 series. However, Asus is implementing a six-axis gimbal stabilization system for the cameras.

The power button doubles up as a fingerprint reader and supports a slide gesture which can be used to scroll down a page in websites or apps. The Zenfone 9 also has stereo speakers and a 3.5mm audio jack. The leaked video also reveals a smart backpack mount and a flexible Connex phone case with an optional kickstand or card holder that likely attaches magnetically.

Samsung Galaxy Watch 5 Series Leaks in Official 360-Degree Renders

Samsung will most likely refresh its Galaxy Watch series in August and so far, there have been multiple leaks about the upcoming smartwatches – The Galaxy Watch 5 Pro and the Galaxy Watch 5. Renowned leaker Evan Blass and 91mobiles joined forces to bring out official renders that give us a 360-degree view of Samsung’s next-gen smartwatches. The leak consists of official 3D rotation animations that showcase the two upcoming smartwatches from every angle.

Samsung Galaxy Watch 5 Pro: What We Know

The Samsung Galaxy Watch 5 Pro will be the successor to last year’s Galaxy Watch 4 Classic. The device will be available in two colourways – Black and Titanium. The renders show that the devices come with an updated design. However, the rotating bezel around the display from the previous high-end model has been dropped. The Watch 5 Pro will be available in a 45 mm size and comes with a Sapphire Crystal display. The back of the watch also shows 5ATM water resistance and onboard GPS.

The watch features two buttons on the right – one of them with a red accent around it. The watch may also have a microphone on the right side and a speaker grille on the left edge. The watch will run WearOS 3.5 with the One UI Watch 4.5 skin on top. The Pro version looks pretty similar to the normal variant, however, it seems to have a slightly more raised bezel which drops the screen lower. This could add a bit of protection to the display. The Pro variant comes with what looks like a magnetic folding clasp. The model will likely be available in Bluetooth-only and LTE variants.

Samsung Galaxy Watch 5: What We Know

The regular Galaxy Watch 5, codenamed Heart, is said to replace the Galaxy Watch 4 from last year. This model will also ship in Bluetooth-only and LTE variants. It looks similar to the Galaxy Watch 4 in terms of design as well. There’s a traditional buckle strap and three colourways – Black, Blue and White. The Watch 5 is shown in its 44 mm size but we can also expect a 40 mm version as well at launch. This device also comes with 5ATM water resistance and onboard GPS.

The Galaxy Watch 5 comes with two buttons on the right side and a speaker grille on the left. The regular Watch 5 comes with a flat display that sits flush with the bezel, so it won’t offer protection to the degree offered by the Pro variant with the raised bezel. The watch will run WearOS 3.5 as well with One UI Watch 4.5 skin on top.

Twitter Starts Testing CoTweets Heres What You Need To Know

Twitter on Thursday announced that it has started testing its new CoTweets feature that would allow users to share credits for a Tweet. Twitter made the announcement via a Tweet that it put up on the Twitter Create (@TwitterCreate) account.

The microblogging platform has been on a spree of announcing updates to its services. Last week, Twitter announced that the ‘Custom Navigation’ feature, which comes as part of its Twitter Blue subscription, would be available for Android users. Before the announcement, the feature was only available for iOS users.

Share the spotlight and engage with new audiences. Select accounts in the US, Canada, and Korea can now send invites to CoTweet! This experiment will run for a limited time.

— Twitter Create (@TwitterCreate) July 7, 2022 Get together and engage more on Twitter!

In the announcement Tweet, the company expanded on the potential use of this feature, saying that it can be effective in connecting with new audiences. Instagram also has a similar feature on its platform. The' collab' feature allows users to share credits and get the content to appear on the Instagram page of both parties. And, given what we know about this feature, it seems like Twitter has taken a page off Instagram’s book.

The collab feature on Instagram is taking off well and is being used by creators across the platform.

Before going ahead and using the CoTweet feature, make sure to read the FAQs published by Twitter regarding this. The tweet published by the Twitter Create handle mentioned that this test is a limited-time experiment. However, when we went to the FAQs page, we found that if you are creating a Tweet using this feature, it may get removed from the platform after the testing ends. So, tread carefully.

The testing of this feature is also limited to certain regions, which has also been the case with a host of other feature tests that Twitter has conducted in the past. In this case, the CoTweet feature has been made available only for users in Canada, Korea, and the US.   As the test goes underway, with users in the selected region taking it to the platform to create a plethora of Tweets, it will be interesting to see which direction Twitter take with this feature. Twitter has been innovating and trying its best to bring new features to the platform. Now, with the leadership switch on the horizon, the journey ahead will be worth following!
